Job Description
Sparks Group has partnered with a well-established and nationally recognized multifamily real estate investment and development firm headquartered in New York City who are looking to add a detail-oriented Real Estate Paralegal or Legal Assistant to its legal team. This position offers an exciting opportunity to be involved in all phases of commercial real estate transactions, from initial structuring through post-closing follow-up.
Key Responsibilities:
Analyze term sheets and develop transaction checklists for major multifamily property acquisitions, sales, and loan closings.
Draft foundational corporate documents such as operating agreements and organizational charts.
Register new legal entities and obtain corresponding EINs.
Monitor and manage entity compliance deadlines and ensure timely payment of filing fees.
Prepare internal governance documents, including resolutions and consents.
Assist with structuring entities to meet lender requirements, including appointing independent directors or springing members.
Coordinate all aspects of closing with counterparties, including lenders, title and escrow officers, surveyors, legal counsel, and bank representatives.
Support the negotiation and execution of deposit account control agreements and cash management agreements.
Assemble and prepare drafts of transaction documentation, attachments, and execution materials.
Obtain required subordination agreements from commercial tenants.
Order and manage zoning reports, title insurance, and updated surveys.
Review title and survey documents, provide commentary, and coordinate with appropriate stakeholders.
Maintain organized transaction records and documentation using cloud-based systems (e.g., Dropbox).
Oversee post-closing deliverables such as title policy issuance, recording of deeds, and release of escrows and liens.
Prepare investor documentation, including subscription agreements and membership interest assignments.
Track incoming legal invoices and coordinate with the accounting team for timely payments.
Required Qualifications:
A minimum of 5 years’ experience handling multifamily real estate transactions in a paralegal or legal assistant capacity.
Strong working knowledge of Fannie Mae and Freddie Mac multifamily loan processes.
Current Notary Public designation.
Proficiency with Microsoft Office applications and Adobe Acrobat.
Exceptional organizational, written communication, and analytical skills.
Proven ability to manage multiple projects simultaneously and meet tight deadlines with precision and professionalism.
